For Clinical Supervisors

THESE TERMS AND CONDITIONS govern the relationship between Black Girls in Social Work, LLC (hereinafter “BGSW”) a South Carolina Limited Liability Company and Clinical Supervisor (hereinafter “Supervisor”). By using the BGSW website and services, Supervisor agrees to be bound by the Terms and Conditions listed below.

1. Services. BGSW provides the following services:
A Clinical Supervisor Directory for connecting individuals who have earned a post-graduate degree in Social Work with a Clinical Social Work Supervisor, to obtain clinical supervision hours required for a Social Work Clinical Professional License (hereinafter “Services”).

2. Acceptance. By using BGSW’s Website, www.blackgirlsinsocialwork.com (hereinafter “Website”) and Services, Supervisor acknowledges and agrees that Supervisor is at least eighteen (18) years of age, has read and understood these Terms and Conditions and are voluntarily bound by these Terms and Conditions. If Supervisor is accessing or making use of the Website or Services on behalf of a User, Supervisor acknowledges and agrees that Supervisor has discussed these terms with the user and has the authority to bind, and is actually binding the user to these Terms and Conditions in addition to binding the Supervisor. If Supervisor does not agree to be bound by these Terms, Supervisor is to cease accessing or otherwise using BGSW’s Website or Services.

3. Accuracy of Information. The contact information that Supervisor provides to BGSW to list on the Website must be complete and accurate at all times.

4. Supervisor Responsibilities. When Supervisor is providing Supervision services to Supervisees, Supervisor is responsible for the following:

a. Holding and maintaining the necessary credentials and satisfying all continuing education requirements for your professional license(s) and/ or credentials (“License/Credentials”). Supervisor is responsible for remaining in compliance with the licensing and renewal standards as required by the licensing entity. In the event Supervisor fails to renew or otherwise meet licensing compliance standards, Supervisor shall immediately provide written notice of supervisor’s non-compliance to BGSW via email at directory@blackgirlsinsocialwork.com.

b. Maintaining customary levels of professional liability insurance.

c. Maintaining a thorough understanding of the professional licensure/credential requirements applicable to clinical supervision and tele-supervision (i.e.: number of hours required and if the hours can be obtained through tele-supervision) for the state or other geographic area with respect to which Supervision Services are provided. Supervisor acknowledges and agrees that BGSW is not responsible for tracking each state’s requirements for Supervision hours. Additionally, Supervisor is solely responsible for keeping track of the supervision hours provided to Supervisee.

5. Grant of License. So long as Supervisor is in compliance with these Terms and Conditions, BGSW grants Supervisor a non-exclusive, non-sublicensable, revocable, non-transferable license to use the Website and related Services. The Website may not be reproduced, duplicated, copied, modified, sold, resold, distributed, visited, or otherwise exploited for any commercial purpose.

6. Intellectual Property. All texts, pictures, graphics, logos, images, documents, and other content unless otherwise stated, which you may have access to through the Website or Services, is owned by, or licensed to BGSW or its designated owner and is protected by U.S. and/or international copyright, trademark, and other applicable laws. The Website, Services, all software related thereto content provided by BGSW, all processes, designs, techniques, concepts, improvements, modification, all trademarks, copyrights, service marks, patents, applications therefore, trade secrets and other intellectual property rights, appurtenant thereto and any derivate works thereof related to the Website and Services are and shall remain the exclusive property of BGSW or its designated owner.

7. No-Employment Status. BGSW does not have an employer-employee relationship with any users of its Website or Services including Supervisors.

8. Non-Solicitation/ Non-Compete. BGSW understands that some of the Clinical

Supervisors listed in the Supervisor Directory may be in private practice and already serve as Clinical Supervisors in their own individual capacity. This paragraph applies only to Clinical Supervisor/Supervisee relationships which are established through use of BGSW’s website and or services. This paragraph in no way prohibits or restricts Supervisors from working with supervisees that were obtained outside of BGSW's Supervisor Directory.

9. Indemnification. Supervisor agrees to forever indemnify, defend, and hold harmless BGSW from and against any and all claims, causes of action, demands, penalties, fines, liabilities, losses, judgments, damages or expenses (including, without limitation, court costs, filing fees and reasonable attorney’s fees) whatsoever, whether known or unknown, intentional or negligent, and regardless of whether such liability arises out of Tort, Contract, Strict Liability, in law or equity, or otherwise to the fullest extent allowed by applicable law related in any manner to (a) Supervisor’s access to the Website or use of the services or (b) Supervisor’s violation of these Terms and Conditions.

10. Warranty Disclaimer. Supervisor’s use of the Services and Website are at Supervisors sole discretion and risk. The Services and Website are provided “As-is”, with all faults and without warranties of any kind, express or implied. As such, BGSW expressly disclaims any and all warranties of any kind, express, implied, or statutory or otherwise to the fullest extent allowed by applicable law, relating to the services, website, and terms. The warranties disclaimed include without limitation, the warranties of fitness for a particular purpose, merchantability, title, non-infringement of proprietary rights, course of dealing, course of performance, security, accuracy, reliability timeliness and performance of the Services. No representations are made concerning the adequacy or accuracy of the Website or Services.

11. Headings. The headings used at the beginning of each numbered paragraph in these Terms and Conditions are for convenience purposes only and, in no way restrict or otherwise limit the content detailed herein. Additionally, the headings shall have no legal or contractual effect.

12. Entire Agreement. The Parties further agree that this Agreement expresses the entire Agreement between the Parties and that there is no other Agreement oral or otherwise modifying the terms hereunder.

13. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which taken together shall constitute one and the same instrument. The signature of this Agreement by each Party forwarded to the other by facsimile or electronic mail shall be treated as an original signature and binding on the signing party.

14. Governing Law. Jurisdiction and Venue. Any litigation, action or proceeding arising out of or relating to this Agreement may be instituted in a state or federal court in Greenville County, South Carolina, and each Party does hereby submit to the personal jurisdiction thereof and further waives any existing or future objection to any such litigation, action, or proceeding based upon improper venue, inconvenient forum, or lack of personal jurisdiction.
